OVERVIEW

Welcome to Gorge Fly Shop. The terms “we,” “us,” and “our” refer to Gorge Fly Shop, Inc. Gorge Fly Shop operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (collectively, the “Services”).

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service, together with the policies referenced herein, describe your rights and responsibilities when you access or use the Services.

Please read these Terms of Service carefully. They contain important information about your legal rights, including warranty terms, limitations of liability, and other provisions that may affect you.

By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not access or use the Services.

Nothing in these Terms is intended to exclude, restrict, or modify a consumer right or remedy that cannot lawfully be excluded, restricted, or modified.

SECTION 1 – ACCESS AND ACCOUNTS

You must be legally able to enter into a binding agreement in your place of residence to make a purchase through the Services. A minor may use the Services only with the involvement and authorization of a parent or legal guardian.

To access certain features or purchase products, you may be required to provide information such as your name, email address, billing address, shipping address, and payment information.

You represent that the information you provide is accurate, current, complete, and lawfully provided.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, sublicense, or otherwise make your account available to another person without our permission.

SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to describe and display our products accurately. However, product colors, finishes, textures, proportions, packaging, and other visual details may appear differently depending on your screen, device, browser, display settings, or photography.

Product photographs may include accessories, reels, lines, flies, clothing, display stands, or other items that are not included unless specifically stated in the product description.

We do not guarantee that a product’s appearance on your device will exactly match the physical product.

Product descriptions, specifications, pricing, availability, images, and other information may be corrected or changed without notice. Manufacturers may also update product components, packaging, colors, or specifications without notifying us in advance.

We reserve the right to discontinue products, limit quantities, restrict sales, or decline to offer a product to a person, geographic region, or jurisdiction when reasonably necessary.

Certain products may be subject to manufacturer distribution restrictions, export limitations, warranty terms, or geographic sales restrictions.

SECTION 3 – ORDERS

Placing an order constitutes an offer to purchase products from Gorge Fly Shop. An automated order confirmation acknowledges that we received your order but does not necessarily mean that the order has been accepted or shipped.

We reserve the right to accept, decline, limit, hold, verify, or cancel an order when reasonably necessary, including in cases involving:

Suspected fraud or unauthorized payment activity;
Incorrect pricing or product information;
Inventory discrepancies;
Dealer, manufacturer, or export restrictions;
Unusual order quantities or suspected unauthorized resale;
Incomplete or unverifiable billing or shipping information;
Payment authorization problems; or
Technical or system errors.

We may contact you using the email address, telephone number, billing address, or shipping information provided with the order.

Payment authorization or collection does not require us to fulfill an order that we decline or cancel. If we cancel an order after payment has been collected, the applicable amount will be refunded to the original payment method.

Please review your order carefully before submitting it. Once processing or fulfillment has begun, we may be unable to change or cancel the order.

Purchases are subject to our Return and Refund Policy.

Products may not be purchased through fraud, payment abuse, prohibited export activity, or for unauthorized resale that violates applicable dealer, manufacturer, or distribution restrictions. Legitimate purchases by guides, outfitters, schools, organizations, and businesses are not prohibited solely because they are made for business use.

SECTION 4 – PRICES, PROMOTIONS, AND BILLING

Prices, discounts, promotions, product availability, and offers may change without notice.

The price charged will generally be the price shown when the order is submitted, subject to correction of errors, verification of eligibility, and any separate promotional terms.

Unless expressly stated otherwise, displayed prices do not include shipping charges, customs duties, brokerage fees, import charges, or other destination-specific costs.

Prices offered online may differ from prices previously offered, advertised elsewhere, or available through a physical store, third-party marketplace, manufacturer, or other retailer.

Promotions may be governed by separate terms, including eligibility requirements, exclusions, purchase limits, expiration dates, or restrictions on combining offers. If promotional terms conflict with these Terms of Service, the specific promotional terms will govern the promotion.

Closeout prices, discontinued-product prices, and limited-quantity offers may change as inventory and market conditions change. Price adjustments, when offered, are governed by the applicable store policy in effect at the time of the request.

You agree to provide current, complete, and accurate purchase, payment, billing, shipping, and account information.

You represent that:

The payment information you provide is accurate and complete;
You are authorized to use the selected payment method;
The payment provider will honor authorized charges; and
You will pay all authorized charges, including applicable shipping charges, taxes, duties, and fees.

SECTION 5 – SHIPPING AND DELIVERY

Orders are processed and shipped according to our Shipping Policy, which is incorporated into these Terms by reference.

Processing and delivery dates are estimates unless a guaranteed service has been specifically purchased and confirmed. Delivery may be affected by carrier delays, weather, customs processing, address problems, holidays, natural disasters, or other circumstances outside our reasonable control.

If an order cannot be shipped within the stated or legally required timeframe, we will provide notice and available options as required by applicable law.

Customers are responsible for providing a complete and accurate shipping address. Address changes may not be possible after processing or fulfillment begins.

Ownership and risk associated with a shipment will be determined under applicable law and our Shipping Policy. Nothing in these Terms automatically transfers risk to a customer earlier than permitted by applicable law.

SECTION 6 – RETURNS, REFUNDS, AND WARRANTIES

Returns, exchanges, refund deductions, final-sale products, used products, installed fly lines, installed backing, and other exclusions are governed by our Return and Refund Policy.

Products must meet the return conditions stated in that policy to qualify for a return or refund.

Some products may be covered by a written manufacturer warranty. Manufacturer warranty claims are administered according to the manufacturer’s applicable terms and may require inspection, repair, or replacement directly through the manufacturer.

Gorge Fly Shop does not control manufacturer warranty decisions, processing timelines, repair charges, replacement availability, or discontinued-product substitutions.

Nothing in these Terms eliminates or limits a written manufacturer warranty or any implied warranty, statutory guarantee, consumer remedy, or other right that cannot lawfully be excluded or limited.

SECTION 7 – INTELLECTUAL PROPERTY

The Services and their contents—including trademarks, names, logos, text, articles, buyer’s guides, photographs, graphics, layouts, product reviews, videos, audio, data, and the selection and arrangement of these materials—are owned by Gorge Fly Shop, its affiliates, its licensors, or their respective owners and are protected by applicable intellectual property laws.

You may use the Services only for lawful, personal, and internal business purposes that do not involve unauthorized reproduction or commercial exploitation of our content.

Without prior written permission, you may not reproduce, copy, republish, modify, translate, distribute, publicly display, transmit, scrape, extract, sell, license, create derivative works from, or commercially exploit material from the Services.

Nothing in these Terms grants you a license or ownership interest in intellectual property belonging to Gorge Fly Shop, Shopify, a manufacturer, supplier, photographer, author, or other third party.

Gorge Fly Shop names, logos, designs, slogans, and service names are trademarks or protected identifiers of Gorge Fly Shop or their respective owners. Shopify’s names, logos, products, and services are trademarks of Shopify. Other names and marks displayed through the Services belong to their respective owners.

SECTION 8 – OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to tools, applications, payment services, product feeds, reviews, maps, videos, social media features, or other services operated by third parties.

We do not necessarily monitor or control these third-party tools. They may be provided “as is” and “as available,” subject to the third party’s own terms and privacy practices.

Your use of optional third-party tools is at your discretion and risk. You should review and understand the applicable third-party terms before using them.

New tools, features, or resources added to the Services will also be subject to these Terms unless separate terms are provided.

The Services may contain links to websites, applications, resources, or content operated by third parties.

We are not responsible for investigating, verifying, or guaranteeing the accuracy, security, availability, content, policies, products, or services of third-party websites.

Questions or claims relating to third-party products, services, or websites should be directed to the applicable third party.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

Gorge Fly Shop is powered by Shopify, which enables us to provide the Services to you. However, purchases made through our store are transactions directly between you and Gorge Fly Shop.

Shopify is not the seller of products purchased from Gorge Fly Shop and is not responsible for our product descriptions, fulfillment, returns, refunds, warranties, or customer service.

To the fullest extent permitted by law, Shopify and its affiliates are not liable for claims arising solely from a transaction between you and Gorge Fly Shop. Nothing in this section limits a right or claim against Shopify that cannot lawfully be waived.

SECTION 11 – PRIVACY

Personal information collected through the Services is handled according to our Privacy Policy.

Because our store is hosted by Shopify, Shopify also processes certain information relating to your access to and use of the Services. Information may be transmitted to Shopify and other service providers that help operate the store, process payments, prevent fraud, fulfill orders, provide analytics, or support other business functions.

SECTION 12 – REVIEWS, PUBLIC SUBMISSIONS, AND FEEDBACK

This section applies to reviews, photographs, comments, testimonials, suggestions, social media submissions, or other material that you intentionally submit for publication, public display, marketing, or promotional use (“Public Feedback”).

By submitting Public Feedback, you grant Gorge Fly Shop a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, edit, publish, distribute, translate, display, and promote that Public Feedback in connection with our Services and business.

This license does not automatically apply to private customer-service emails, private order communications, billing information, warranty communications, or other material that a reasonable person would expect to remain private. Those communications are handled according to our Privacy Policy and applicable law.

You represent that:

You own or control the rights necessary to submit the Public Feedback;
The Public Feedback does not violate another person’s copyright, trademark, privacy, publicity, or other rights;
You have disclosed any compensation or incentive associated with the submission; and
The Public Feedback is accurate and complies with applicable law and these Terms.

We are not required to publish, retain, compensate you for, or respond to Public Feedback.

We may monitor, edit, decline, or remove Public Feedback that we reasonably consider unlawful, misleading, abusive, obscene, defamatory, fraudulent, infringing, unrelated, or otherwise objectionable.

You may not use a false identity, impersonate another person, or misrepresent the source of Public Feedback.

SECTION 13 – ERRORS, INACCURACIES, AND OMISSIONS

Information on the Services may occasionally contain typographical errors, incorrect specifications, inaccurate pricing, outdated availability, promotional errors, shipping errors, or other omissions.

We reserve the right to correct errors, update information, modify or withdraw an offer, or cancel an affected order at any time, including after an order has been submitted.

If we cancel an order because of an error after payment has been collected, the applicable amount will be refunded to the original payment method.

SECTION 14 – PROHIBITED USES

You may use the Services only for lawful purposes. You may not use the Services directly or indirectly:

For unlawful, fraudulent, deceptive, abusive, or malicious purposes;
To violate an applicable international, federal, state, provincial, or local law;
To infringe or violate intellectual property, privacy, publicity, or other rights;
To harass, threaten, abuse, defame, discriminate against, intimidate, or harm another person;
To submit false, misleading, or fraudulent information;
To transmit malware, viruses, harmful code, or destructive technology;
To send spam, phishing messages, chain letters, unsolicited advertisements, or similar solicitations;
To impersonate another person, company, or organization;
To collect, track, harvest, or misuse personal information;
To interfere with the operation or security of the Services;
To bypass access controls, fraud controls, robot exclusions, CAPTCHAs, or security measures;
To copy, scrape, extract, sell, resell, or commercially exploit the Services or their contents without authorization; or
To engage in conduct that restricts another person’s use of the Services or exposes Gorge Fly Shop, Shopify, or another party to harm or liability.

We may suspend, restrict, or terminate access to the Services if we reasonably believe these Terms have been violated.

SECTION 15 – AUTOMATED ACCESS

Automated systems, bots, crawlers, scrapers, agents, or similar tools may not access or interact with the Services in a manner that:

Circumvents CAPTCHAs, robot exclusions, authentication requirements, rate limits, or security controls;
Conceals or misrepresents automated activity as human activity;
Copies or extracts protected content without authorization;
Interferes with website performance, inventory, pricing, checkout, customer accounts, or business operations;
Violates posted technical instructions or applicable law; or
Continues after we have requested that the operator stop.

We may use reasonable technical measures to monitor, restrict, rate-limit, or block automated access.

SECTION 16 – TERMINATION

We may suspend or terminate your access to all or part of the Services when reasonably necessary, including for violation of these Terms, suspected fraud, abuse, security risks, or unlawful conduct.

You remain responsible for amounts properly due before termination.

Provisions that by their nature should survive termination will remain in effect, including provisions addressing intellectual property, Public Feedback, disclaimers, liability limitations, indemnification, governing law, and accrued payment obligations.

SECTION 17 – DISCLAIMER OF WARRANTIES

Information provided through the Services is offered for general informational purposes. Although we make reasonable efforts to provide useful and accurate information, we do not guarantee that all content is complete, current, error-free, or appropriate for every fishing condition, location, product, angler, or use.

Product selection, fishing, boating, wading, travel, and outdoor activities involve personal judgment and risk. You are responsible for evaluating current conditions, regulations, product suitability, and your own experience and abilities.

EXCEPT FOR WRITTEN WARRANTIES EXPRESSLY PROVIDED BY GORGE FLY SHOP OR AN APPLICABLE MANUFACTURER, AND EXCEPT AS OTHERWISE REQUIRED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES AND CONDITIONS RELATING TO THE OPERATION OR AVAILABILITY OF THE SERVICES, INCLUDING IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR ONLINE-SERVICE PURPOSE AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

PRODUCTS MAY BE COVERED BY MANUFACTURER WARRANTIES OR RIGHTS ARISING UNDER APPLICABLE LAW. NOTHING IN THESE TERMS DISCLAIMS, EXCLUDES, OR LIMITS A WARRANTY, GUARANTEE, REMEDY, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED, EXCLUDED, OR LIMITED.

SECTION 18 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, GORGE FLY SHOP, INC., ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, SUPPLIERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

This may include:

Lost profits, revenue, savings, data, or business opportunities;
Loss of use or replacement costs;
Interruptions or errors involving the Services;
Unauthorized account activity not caused by our failure to exercise legally required care;
Third-party tools, links, websites, or services; or
Other losses arising from access to or use of the Services.

These limitations apply regardless of whether the claim is based in contract, tort, negligence, strict liability, statute, or another legal theory, but only to the extent the limitation is permitted by applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by conduct for which liability cannot lawfully be excluded, defective products where liability cannot lawfully be limited, or any other liability or remedy that cannot be waived or restricted.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, liability will be limited only to the maximum extent permitted by law.

SECTION 19 – INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Gorge Fly Shop, Inc. and its officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising directly from:

Your intentional or fraudulent misuse of the Services;
Your material violation of applicable law through the Services;
Public Feedback or other content you submit that infringes another party’s rights; or
Your material breach of these Terms that causes a third-party claim.

This section does not require you to indemnify Gorge Fly Shop for claims caused by Gorge Fly Shop’s own negligence, misconduct, breach of law, or breach of these Terms.

We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to defend the claim.

We may participate in the defense of the claim. We will not agree to a settlement that imposes a nonmonetary obligation or admission of wrongdoing on you without your reasonable consent.

SECTION 20 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

SECTION 21 – WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and operating rules posted through the Services, constitute the agreement between you and Gorge Fly Shop regarding your use of the Services, except where separate written terms apply to a particular order, promotion, service, or product.

Nothing in this section limits representations, warranties, rights, or remedies that cannot lawfully be waived.

SECTION 22 – ASSIGNMENT

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent.

Gorge Fly Shop may assign or transfer these Terms and its rights or obligations in connection with a merger, acquisition, reorganization, asset transfer, financing, or similar business transaction, subject to applicable law.

SECTION 23 – GOVERNING LAW

These Terms and any separate agreement through which Gorge Fly Shop provides Services will be governed by the laws of the State of Oregon and applicable federal law, without regard to conflict-of-law principles.

To the extent permitted by law, disputes arising from these Terms or the Services may be brought in a state or federal court with appropriate jurisdiction in Oregon.

Nothing in this section deprives a consumer of a protection, remedy, right to bring a claim, or mandatory jurisdictional right that cannot be waived under the law applicable to that consumer.

Headings are included for convenience and organization only. They do not limit or otherwise affect the meaning of these Terms.

SECTION 25 – CHANGES TO THESE TERMS

You may review the current version of these Terms of Service on this page at any time.

Changes become effective on the date stated in the updated Terms. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms, except where applicable law requires another form of notice or consent.
